Renewing a German residence permit for entrepreneurial activity takes more than showing a registered company and the original business plan. You need to explain how the business actually operates, what supports its future development and how you cover your living costs. Falling short of a forecast does not automatically mean refusal, but it calls for a substantive explanation backed by evidence.
This article is primarily for holders of an Aufenthaltserlaubnis under section 21 of the Residence Act who already run a business in Germany. Forming a company, obtaining an entry visa and renewing an existing permit are different stages. If you are still planning your move, start with the general guide to business immigration.
The following approach helps organise a renewal file where revenue is lower than expected, the client base has changed or launching took longer than planned. All numerical examples are hypothetical. They are not statutory financial thresholds or a guarantee of the immigration authority’s decision.
1. Identify the exact permit you are renewing
Check the legal basis on your card and the conditions on its Zusatzblatt, or supplementary sheet. “Self-employed” can describe several legally different situations:
- Entrepreneurial activity under section 21(1), such as your own trading or service business.
- The special route under section 21(2a) for certain graduates of German higher education institutions, researchers and academics.
- Freiberufliche Tätigkeit under section 21(5): work in a liberal profession, with its own conditions.
- Self-employment additionally authorised under section 21(6) while another residence purpose remains in place.
The last category is particularly important. You may own a company but be renewing a family or other residence permit. Registering a trade does not automatically switch your residence basis to entrepreneurship. Freelancers should not simply copy the entire document package of a UG or GmbH owner either. See the separate guide to Germany’s freelance visa requirements.
A special permit under section 21(2b) also exists for preparing to establish a business with an appropriate scholarship. It lasts for the scholarship period, up to 18 months. It should not be treated as an ordinary start-up status that can be renewed indefinitely. The main distinctions are set out in section 21 of the Residence Act.
2. At renewal, promises need to be supported by results
Under section 8(1) of the Residence Act, the same provisions apply to renewal as to initial issuance. The factual position is different, however: an operating business now has a track record that can be assessed.
The practical question is whether actual results continue to support the residence basis. Your original forecast is useful for comparison, but it does not replace accounts, contracts or a credible plan for the next period.
The official Berlin renewal service page links renewal to successful activity generating sufficient income on a lasting basis. This is published guidance for a local procedure, not a uniform document checklist for every German city.
The Cologne Chamber of Industry and Commerce renewal checklist includes a description of current activity and prospects, financial reports, tax and banking documents, and evidence of customers and employees. The chamber assesses economic aspects; the competent immigration authority decides on the residence permit.
A useful explanation therefore goes beyond “the market was difficult”. It identifies completed sales, obstacles to growth, measures already implemented and the evidence behind the revised forecast.
3. Explain departures from the original business plan
Do not rewrite the old business plan as though today’s outcome was what you originally expected. Prepare a separate “Plan versus actual development” note.
A useful structure is:
- The period compared: matching months or completed financial years.
- Planned figures: revenue, expenses, customers, staffing and investment.
- Actual results and the documents supporting them.
- Reasons for significant differences.
- Changes already made, rather than changes merely promised.
- The next-period forecast, its assumptions and risks.
For example, a studio’s opening was delayed by four months because renovation work took longer. A convincing explanation includes correspondence with the contractor, the handover date, the actual start of sales and monthly performance after opening. The explanation alone is insufficient. But comparing a full planned year with only eight months of trading without explaining the mismatch is also misleading.
If a major client left, show both the terminated contract and the composition of remaining orders. If input costs rose, explain whether prices, suppliers or the product range changed. The assessment should make the future business model understandable rather than conceal earlier difficulties.
4. Turnover, profit and cash are different measures
Keep three layers of financial information separate.
Turnover measures sales. It is not the owner’s personal income: goods, contractors, rent, staff and other expenses must be paid from those sales.
Profit is the financial result under the applicable accounting rules. High turnover can coexist with a small profit. For a growing business, reported profit may also differ from cash movements because of payment timing, investment and other accounting factors.
Liquidity shows whether funds are available for upcoming payments. A substantial signed contract does not mean the customer will pay before the next rent or tax deadline.
Hypothetical example: invoices of EUR 18,000 are issued in a month, costs are EUR 13,000, but only EUR 11,000 has actually been received. These figures answer different questions. You cannot choose the most attractive one and label it “net income”.
Organise the working file into sales, costs, results and a payment schedule. Label figures including and excluding VAT. If your accountant prepared a calculation, ask them to explain its method and period. This is a recommendation for clarity, not a separate statutory reporting format.
5. Demonstrate the entrepreneur’s personal income
The next question is how much money is genuinely available for your living costs after mandatory expenses. A UG or GmbH’s business-bank balance is not automatically the shareholder’s unrestricted personal money.
For a managing director, the remuneration agreement, payroll or other accounting records and actual payments should align. Profit distributions need documentation of their legal basis. A sole trader should explain income and personal drawings in a manner consistent with the legal form and accounting method.
Do not independently label every company-to-owner transfer as “salary”. A Steuerberater should check payment classification and tax consequences. In the immigration file, the same payment must not simultaneously become company revenue, personal income and an additional funding source.
General maintenance requirements appear in section 5 of the Residence Act, while the definition of a secure livelihood is in section 2(3). Adequate health insurance is part of the assessment. The law makes exceptions for certain public benefits, so “every payment from the state is prohibited” is inaccurate.
There is no single turnover figure for every entrepreneur. Household composition, housing costs and obligations differ. Ask your authority how it expects you to demonstrate maintenance, rather than substituting an advertised online figure for an individual calculation.
6. Real customers carry more weight than a prospect list
Create a schedule of significant orders showing the contract, scope, value, performance period and payment status. Separate paid work from signed contracts, and signed contracts from negotiations.
A practical evidence set may include the contract and annexes, invoice, proof of delivery or performance, and corresponding payment. Make the connection easy to follow through matching order or invoice numbers, dates and amounts.
Letters of interest can help explain prospects, but they are not guaranteed revenue. If a future contract depends on a tender, licence or the customer securing funding, disclose that condition. A cautious, transparent forecast is stronger than a large unsupported number.
Avoid filling the file with unrelated screenshots. Selected evidence should let the reviewer test your account efficiently. Include customer personal data only as necessary, but do not obscure essential details so extensively that a document loses its evidential meaning.

7. A working checklist of renewal documents
Your authority sets the exact requirements. The structure below helps organise preparation; it does not replace its local instructions.
Personal documents and current permission
Prepare your passport, current residence permit, supplementary sheet, address information and required application form. Check that names and addresses are consistent across attachments. If your passport changed, retain documents connecting the old and new details.
The business and its actual operations
Collect current registration records, ownership and management information, required operating or professional licences, the premises lease and explanations of major changes. For a new business activity, separately check whether the existing permit conditions cover it.
Financial history
Agree with your accountant which annual documents are complete, which accounting periods remain open and what demonstrates the current position. Depending on the accounting system and the authority’s request, the file may require annual accounts, a profit-and-loss account, an Einnahmenüberschussrechnung (cash-basis profit calculation), a BWA (interim management accounts), tax assessments and bank statements.
These documents are not interchangeable. An interim BWA, for example, does not necessarily include every year-end adjustment. If final accounts are not ready, say so and supply the available interim figures. Do not present a provisional calculation as final.
Future activity and maintenance
Add confirmed work, an updated financial forecast, personal-expense calculations, insurance documents and, where required, retirement provision. Household composition and maintenance obligations must match the income explanation.
For entrepreneurial residence categories, Berlin lists a Prüfungsbericht prepared by a qualified professional. Its checklist for liberal professions under section 21(5) specifies different income evidence. Neither the Berlin form nor its rules about the person preparing it should automatically be applied across Germany. Official Berlin checklist.
8. If the business is still making losses
Assess the reason for the loss, how long it has lasted and how continuing operations will be funded. A seasonal dip, one-off start-up expenses and a persistent shortage of orders are different situations. None produces a universal answer without reviewing the documents.
Separate one-off from recurring costs. Show which have been paid, which are still due and the verified funds available to meet them. Explain whether the business can operate without repeated owner injections and when sustainable cash generation is expected.
For example, equipment was purchased once and monthly expenses subsequently fell considerably. That deserves a separate explanation. If sales cover only half of recurring fixed costs, however, calling the position an “investment phase” does not solve it. A realistic model, accessible funding and an individual assessment of the renewal basis are needed.
Do not inflate turnover through fictitious invoices or circular transfers. Alongside legal risks, such transactions undermine the consistency of the file. If prospects have genuinely deteriorated, discuss whether another residence basis is available with an appropriately qualified lawyer before the card expires.
9. Changes to services, the company or the owner’s role
Business plans evolve: services may be added to trading, a partner may change, operations may move or another business may be acquired. Renewal requires those developments to be explained and checked against the permitted scope of activity.
First compare what you actually do with the supplementary sheet and previous decision. Then prepare a timeline: what changed, when, why, and which registrations or approvals were obtained. A change at the trade office does not automatically amend the conditions of your residence permit.
The Middle Lower Rhine Chamber of Industry and Commerce guidance refers applicants to the immigration authority when expanding or changing an already authorised self-employed activity. What action is needed depends on the specific restrictions attached to the permit.
If an employed managing director takes over and the owner effectively becomes only an investor, the old description of the owner’s entrepreneurial role cannot simply be retained. Actual involvement and the corresponding residence basis require assessment.
10. Insurance, retirement provision and integration obligations
Check that health insurance remains valid, that its coverage is documented and that premiums are included in the budget. Do not assume a travel policy is suitable for long-term residence. Berlin, for example, asks for evidence of coverage and cost, with a specific insurer confirmation for private insurance. Its official initial section 21 application procedure explains this approach.
For applicants older than 45, section 21(3) generally requires adequate retirement provision. Do not ignore this issue at renewal if it applies to your case. A monetary benchmark used by one federal state should not be treated as a nationwide rule. Check the applicable requirements, age conditions and acceptable evidence.
Also check whether you were required to attend an integration course. Section 8(3) of the Residence Act requires compliance with such obligations to be considered on renewal. Running a functioning business does not remove an individually imposed duty. Illness or other obstacles need supporting evidence and a timely explanation.
11. When to apply and what happens after the card expires
Start gathering documents early: accounting confirmations, insurance evidence and clarification of local requirements take time. Check locally when an application may first be submitted. Berlin, for example, permits renewal applications no earlier than four months before expiry. This is a local procedure, not a federal deadline applying identically in every city.
The crucial federal point is to apply before the current title expires. Under section 81(4) of the Residence Act, a timely renewal application generally continues the existing title until the authority decides. Existing restrictions on activity also continue.
Do not equate merely trying to book an appointment with a proven application. Keep the submitted application, the authority’s receipt date and confirmation. If the website reports an error, establish what happened to the submission rather than relying on a fee being debited.
Automatic continuation cannot be promised after a late application. The law allows the authority to order it separately to prevent undue hardship. A Fiktionsbescheinigung records the relevant legal effect; it does not guarantee approval of renewal. Before leaving Germany, separately verify the certificate’s legal basis and the documents needed for re-entry.
12. Renewal and settlement after three years are separate decisions
Three years do not automatically produce a Niederlassungserlaubnis, or settlement permit. The current section 21(4) route requires, among other things, three years of self-employed activity, a credible basis for its continued sustainable development, sufficient income for the applicant and dependent family members living together, and the relevant public-security condition.
In practice, a settlement application needs to demonstrate sustainability, not merely a third anniversary. Berlin expressly describes the route as discretionary and connects it to entrepreneurial permits under section 21(1) or (2a). See its settlement-permit procedure for entrepreneurs.
The accelerated subsection 4 route does not apply to liberal professionals holding a section 21(5) permit. Settlement must be considered under other provisions, including the general section 9 route if its conditions are met. The same three-year route cannot be promised to everyone who invoices clients for services.
If the conditions for settlement are not yet established, renewal of the temporary permit is assessed separately. This is neither an automatically lost case nor a mandatory approval. The existing legal basis, facts and timely application remain important.
13. Build a clear file without unnecessary volume
Begin with a short contents list and covering note. Identify the permit being renewed, the reporting period and changes requiring explanation. Arrange supporting documents in the order in which the note refers to them.
A useful note may run to a few pages and answer five questions: What does the company do? What results has it achieved? Why do those results differ from the plan? How are the applicant’s living costs covered? What supports the forecast? This is an editorial recommendation for organising evidence, not a government-approved template.
Check that figures in accounts and explanations reconcile. Explain differences caused by VAT, accrual versus payment, currency conversion or reporting periods. Do not record promised future receipts as money already received. A document that can be checked readily is usually more useful than many disconnected attachments.
Frequently asked questions
Section 21 sets no universal turnover that guarantees renewal for every business. An assessment needs expenses, available income, living-cost coverage and future prospects. A general sales figure cannot replace an individual calculation.
The provisions discussed do not impose such an automatic rule. But you must explain and document the difference. Causes, measures already implemented and the credibility of the revised forecast are particularly important. Previous approval does not guarantee a new decision.
Savings may form part of the financial picture but do not replace evidence of a functioning entrepreneurial model. The special settlement route has its own requirements. How particular funds are assessed at renewal depends on the legal basis and circumstances.
The authority may involve relevant expert bodies in its economic assessment. Do not assume either that the old opinion remains sufficient without review or that the chamber must participate identically in every case. Follow the competent authority’s request.
Where a timely application triggers section 81(4), the previous title continues with its existing conditions until a decision. This does not expand the activities permitted. A late or disputed submission requires separate assessment.
Follow the local checklist. Some procedures require a specific report by a qualified professional; a spreadsheet you prepare yourself does not replace it. Regardless of the reporting format, reconcile your explanation of business development with the accounting records.
Where to start preparing
First check the expiry date and restrictions of your current permit. Compare the original plan with actual accounts, identify unexplained discrepancies and collect evidence of orders and income. Then establish which documents are still missing under your own authority’s requirements.
For help organising preparation, use the FIRMDER business immigration support page. Agree the service scope and any involvement of a Steuerberater or an authorised legal adviser before work begins. The immigration authority makes the decision; a positive outcome cannot be guaranteed in advance.
This article provides general information. It does not replace an assessment of your particular permit, financial documents and correspondence with the authority. Check current local requirements and the latest legislation before applying, and have individual legal questions assessed by an appropriately qualified lawyer.
